MS&AD Insurance Group Holdings Inc has unveiled its strategy to merge its two leading non-life insurance arms: Mitsui Sumitomo Insurance Co Ltd and Aioi Nissay Dowa Insurance Co Ltd. The merger is targeted for completion by April 2027, following approval from the board on March 28. This move marks a significant shift aimed at consolidating operations to create Japan’s largest market-share holder in the non-life insurance sector.

Objectives and Vision

The merger will enable the group to better adapt to domestic and global market trends. MS&AD stated, “Our vision is to become a world-leading insurance and financial group. To support a resilient and sustainable economy, we will merge Mitsui Sumitomo Insurance and Aioi Nissay Dowa Insurance, thereby fortifying our domestic non-life insurance structure.”

Operational Improvements

By unifying operations, the new organization plans to streamline administrative processes and enhance service delivery. MS&AD emphasized, “This merger will create a non-life insurance entity that leads in market share domestically. Our aim is to enhance customer value by integrating the strengths of both Mitsui Sumitomo and Aioi Nissay Dowa in the non-life insurance business.”

Focus on Efficiency and Compliance

The integration will prioritize operational efficiency and regulatory adherence. MS&AD is dedicated to “meeting customer trust and expectations while ensuring profits align with our top-line size. We plan to offer the best products and services by investing capital in growth areas such as international business, domestic life insurance, and digital/risk-related services.”

Regulatory Challenges

Coinciding with the merger announcement, Japan’s Financial Services Agency (FSA) issued business improvement orders to both insurance companies due to issues related to personal data handling and fair competition violations. The orders require:

  • Submission of updated plans to the FSA by May 30
  • Implementation upon approval
  • Quarterly progress reports starting September

MS&AD acknowledged the FSA’s directive, expressing regret for any inconvenience caused. “We are committed to improving group oversight,” the statement read.

Future Outlook

MS&AD plans to restructure its board governance, aiming for a model with an audit and supervisory committee, and a majority of independent directors. This restructuring intends to enhance internal oversight across group companies.

The company also plans to continue investing in areas such as international insurance, digital platforms, and life insurance, optimizing capital allocation to ensure long-term profitability and competitiveness in the insurance landscape.
